Nachdem man sich im Tombstone-Thread leider weg vom Thema Aktie bewegte und mit Doppel-IDs ein Austausch zum Thema Tombstone Exploration Corp nicht mehr möglich ist, hier ein neuer Thread zur Aktie Tombstone. Aus meiner Sicht eine hochinteressante Aktie mit eigenen riesigen Landrechten in einem alten Minengebiet und mit der Aussicht auf Zugang von Liquidität in Höhe mehrfacher Marktkapitalisierung via EuroGas (20% aus einer Schadenersatzzahlung der Slovakischen Republik) "auf Start". Also: Feuer frei, ich freue mich auf interessante Diskussionen.

TOMBSTONE EXPLORATION CORPORATION

On December 10, 2013, Tombstone Exploration Corporation (the “Company”) entered into a Stock-for-Stock Exchange Agreement (the “Agreement”) with EuroGas, Inc., a Utah corporation (“EuroGas, Inc.”), and EuroGas AG, a Swiss stock corporation (“EuroGas AG”).  Pursuant to the Agreement, EuroGas, Inc. shall exchange two hundred forty million (240,000,000) shares of EuroGas AG’ common stock representing approximately twenty six percent (26%) of EuroGas AG’ total issued and outstanding shares of common stock, in exchange for three hundred forty eight million (348,000,000) shares of the Company’s common stock.  Additionally, EuroGas, Inc. shall finance the Company’s exploration efforts in the USA in the amount of five million dollars ($5,000,000) over a nine (9) month period.  A true and correct copy of the Agreement was filed with the SEC as Exhibit 4.1 to our Current Report on Form 6-K on December 16, 2013 and is incorporated herein by reference.

On January 13, 2014, the Company entered into a First Amendment to the Stock-for-Stock Exchange Agreement (the “First Amendment”) with EuroGas, Inc. and EuroGas AG, which is retroactively made effective as of December 10, 2013, the date of the original Agreement.  Pursuant to the First Amendment, EuroGas, Inc. shall exchange two hundred forty million (240,000,000) shares of EuroGas AG’ common stock representing approximately twenty six percent (26%) of EuroGas AG’ total issued and outstanding shares of common stock, in exchange for three hundred forty eight million (348,000,000) shares of the Company’s common stock.  Additionally, EuroGas, Inc. shall finance the Company’s exploration efforts in the USA in the amount of five million dollars ($5,000,000) over a nine (9) month period.  Further, EuroGas, Inc. shall grant to the Company twenty percent (20%) of any award granted to EuroGas, Inc. or EuroGas AG relating to that certain lawsuit filed by EuroGas AG and EuroGas, Inc. against the Slovak Republic.   A true and correct copy of the First Amendment was filed with the SEC as Exhibit 4.06 to our Annual Report on May 16, 2014 and is incorporated herein by reference.

On May 13, 2014, the Company entered into a Second Amendment to the Stock-for-Stock Exchange Agreement (the “Second Amendment”) with EuroGas, Inc. and EuroGas AG, which is retroactively made effective as of December 10, 2013, the date of the original Agreement.  Pursuant to the Second Amendment, the Company shall receive $100,000 from EuroGas, Inc. in exchange for the issuance of 69,000,000 common shares of the Company.  The 69,000,000 common shares of the Company were issued on May 13, 2014.  Additionally, pursuant to the Second Amendment, on or before June 13, 2014, the Company shall receive $400,000 and 240,000,000 common shares of EuroGas AG from EuroGas, Inc. in exchange for 279,000,000 common shares of the Company.  EuroGas, Inc. shall make further payments to the Company of $500,000 on or before August 30, 2014, and a final payment of $4,000,000 on or before October 31, 2014.  Further, EuroGas, Inc. shall grant to the Company twenty percent (20%) of any award granted to EuroGas, Inc. or EuroGas AG relating to that certain lawsuit filed by EuroGas AG and EuroGas, Inc. against the Slovak Republic.

Exemption from Registration . The shares of common stock referenced herein were issued pursuant to and in accordance with Rule 903 of Regulation S of the Act.  We completed the offering of the shares pursuant to Rule 903 of Regulation S of the Act on the basis that the sale of the shares was completed in an "offshore transaction", as defined in Rule 902(h) of Regulation S. We did not engage in any directed selling efforts, as defined in Regulation S, in the United States in connection with the sale of the shares. Each investor represented to us that the investor was not a "U.S. person", as defined in Regulation S, and was not acquiring the shares for the account or benefit of a U.S. person. The agreement executed between us and each investor included statements that the securities had not been registered pursuant to the Act and that the securities may not be offered or sold in the United States unless the securities are registered under the Act or pursuant to an exemption from the Act. Each investor agreed by execution of the agreement for the shares: (i) to resell the securities purchased only in accordance with the provisions of Regulation S, pursuant to registration under the Act or pursuant to an exemption from registration under the Act; (ii) that we are required to refuse to register any sale of the securities purchased unless the transfer is in accordance with the provisions of Regulation S, pursuant to registration under the Act or pursuant to an exemption from registration under the Act; and (iii) not to engage in hedging transactions with regards to the securities purchased unless in compliance with the Act. All certificates representing the shares were or upon issuance will be endorsed with a restrictive legend confirming that the securities had been issued pursuant to Regulation S of the Act and could not be resold without registration under the Act or an applicable exemption from the registration requirements of the Act.

SECOND AMENDMENT TO STOCK-FOR-STOCK EXCHANGE AGREEMENT

This SECOND AMENDMENT TO STOCK-FOR-STOCK EXCHANGE AGREEMENT (this “Second Amendment”) is made and entered into effective as of the 13th day of May, 2014 (the “Effective Date”), by and among EUROGAS, INC., a Utah corporation (“Seller”), and TOMBSTONE EXPLORATION CORP., a Canadian Federal Corporation (“Purchaser”), and EUROGAS, A.G., a Swiss Stock Corporation (the “Company”). Seller, Purchaser and the Company are collectively referred to herein as the “Parties” and may be individually referred to as a “Party”.


RECITALS

WHEREAS, the Parties entered into that certain Stock-for-Stock Exchange Agreement dated December 10, 2013 (the “Original Exchange Agreement”), attached hereto as Exhibit A ;

WHEREAS, the Parties amended the Original Exchange Agreement by entering into that certain First Amendment to Stock-for-Stock Exchange Agreement dated January 13, 2014 (the “First Amendment”), attached hereto as Exhibit B ; and

WHEREAS, in exchange for the consideration set forth below, the Parties desire to amend, modify, and otherwise revise the Original Exchange Agreement and the First Amendment (collectively referred to herein as the “Agreement”) as set forth herein.

NOW, THEREFORE, in accordance with the foregoing recitals, and in consideration of the mutual covenants made herein and for good and valuable consideration, the Parties agree to amend the Agreement as follows:


AMENDMENTS

1. Incorporation. The foregoing recitals are true and are hereby incorporated into this Second Amendment by reference as though fully set forth herein.

2. Amendment to Section 2. The Parties hereby amend the Agreement by revoking Section 2(a) and inserting in lieu thereof the following:

(a) General.

Seller has deposited in trust with Seller’s US solicitor Michael Coombs, Salt Lake City, UT, the requested payment in the amount of $100,000 and will instruct Mr. Michael Coombs to release the payment to Purchaser in exchange for receipt by Seller of a Certificate in the amount of 69,000,000 Regulation S shares of Purchaser’s stock, which Purchaser shall immediately deliver to Seller’s solicitor.  Seller shall also transfer the Shares and remit payment in the amount of $400,0000 to Purchaser’s attorneys, WALLIN HESTER, PLC, via wire transfer on or before June 13, 2014, in exchange for receipt of additional 279,000,000 restricted shares of Purchaser’s stock (the “Restricted Shares”), which Purchaser shall immediately transfer to Seller upon receipt of the Shares and the $400,000 payment. In addition to the other payments set forth in this Section 2(a), Seller shall also remit the following payments to Purchaser:

(i) $500,000 on or before August 30, 2014; and (ii) $4,000,000 on or before October 31, 2014. The payments required under this paragraph shall be tendered to Purchaser in cash or its equivalent.

In addition to the other consideration described in this Section 2(a), Seller shall pay Purchaser an amount equal to twenty percent (20%) of the total of any and all amounts awarded or received by Seller or the Company, whether through judgment or settlement, relating to that certain lawsuit filed by Seller and the against the Slovak Republic. The payment(s) required under this paragraph shall be tendered to Purchaser in cash or its equivalent within five (5) days of the receipt of the monies by Seller or the Company.

The Parties hereby amend the Agreement by inserting the following as Section 2(c):

(b) Mining Claims . Seller and the Company shall have Riatta Minerals deliver to Purchaser the two hundred sixty-one (261) mining claims (the “Mining Claims”) currently held in Riatta Minerals’ name and that were previously owned by Purchaser for the preceding seven (7) years, along with an executed and notarized quit claim deed transferring the Mining Claims to Purchaser, on or before May 13, 2014. Seller’s and the Company’s failure to have the Mining Claims timely delivered and transferred to Purchaser shall constitute a material breach of this Agreement.

The Parties hereby amend the Agreement by inserting the following as Section 2(d):

(c) Voting the Restricted Shares . During the restrictive period following the issuance of the Restricted Shares, Seller shall not vote the Restricted Shares to remove Alan Brown as either Director or President of Purchaser.

The Parties hereby amend the Agreement by inserting the following as Section 2(e):

(d) Appointment of Additional Directors . In addition to the appointment of Members to the Boards of Directors set forth in the Preliminary Statement of this Agreement, Purchaser shall have the right to immediately appoint two (2) Members to the Board of Directors of Seller.

3. Amendment to Section 3. The Parties hereby amend the Agreement by revoking Section 3(a) and inserting in lieu thereof the following:

(a) General . The closing of the transactions contemplated by this Agreement (the “Closing”) shall take place at such time and place as shall be agreed upon by the Parties (the “Closing Date”), but not later than May 13, 2014, by exchange of documentation among the Parties by fax, email, or courier, as appropriate, following the satisfaction or waiver of all conditions to the obligations of the Parties to consummate the transactions contemplated hereby (other than conditions with respect to actions the respective Parties will take at or after the Closing itself).

4. Other Terms and Conditions Remain. The terms and conditions of this Second Amendment override and supersede any prior agreements between the Parties, and any prior agreements, including the Agreement, shall be deemed constructively amended as necessary to give full force and effect to this Second Amendment. Except as expressly set forth in this Second Amendment, the terms and conditions of the Agreement are otherwise unmodified, and remain in full force and effect. In the event of any inconsistency between the Agreement and this Second Amendment, the terms of this Second Amendment shall control. Each reference in the Agreement to its respective self shall be deemed also to refer to this Second Amendment.

5. Execution Authorized. Each Party warrants and represents to the other that its execution hereof has been duly authorized by all necessary action of such Party.

6. Facsimile Signature/Counterparts. This Second Amendment will become binding and effective upon the exchange of facsimile copies of the required signatures, and may be executed in counterparts.

Tombstone bietet bei der aktuellen Marktkapitalisierung ein hervoragendes
Chance/Risikoverhältnis, die Assets sind Top in der Nachbarschaft hat sich Freeport Mcmoran ein großes Gebiet gesichert und wenn hoffentlich bald News aus der Slowakei zur Klage von Eurogas kommen, dann wird es wohl kein Halten der Tombstone Aktie geben.
Und wie man im letzten Filling lesen hält Eurogas seine Abmachungen mit Tombstone ein.
Sieht heute sehr gut aus, könnte bald ein neues Jahreshoch geben

Das ist der F6, den Alan Brown letzte Woche bei der SEC als Filing offiziell eingereicht hat. Er enthält das "2nd Amendment”.
Im 3. Absatz des “2nd Amendments” wird Bezug auf die Ausgabe der 69 Millionen TMBX Aktien an EuroGas Inc. (ZB Capital AG) genommen. Es wird nun gegenüber der SEC - und damit dem Public - offiziell bestätigt, dass die Aktien tatsächlich für eine Zahlung von $ 100.000 an EuroGas ausgegeben worden sind !

im Grunde war der Wert doch schon mausetot, also auch innerlich abgeschrieben. Alles andere kann nur besser werden. Wer jetzt raus geht, zweifelt. Das muss jeder für sich entscheiden. Wenn der Plan aufgeht und es zur Zahlung käme, dann lachen wir über die jetzige Situation. Also entspannt bleiben. Wenn etwas geschieht, dann passiert es ganz schnell!

Der neue Präsident der Slowakischen Republik Andrej Kiska lässt Korruptions-Opfer hoffen.
EuroGas kämpft seit Jahren um ihr Recht in der Slowakei.

Seit gestern, Sonntag, 15. Juni 2014, ist Andrej Kiska neuer Präsident der Slowakischen Republik.

Als eines der wichtigsten Ziele hat der neue Präsident sich vorgenommen, die Slowakei aus der Liste der besonders von Korruption gezeichneten Staaten zu entfernen und Justiz-Versagen und Justiz-Willkür in seinem Land zu bekämpfen.

Kiska (51) hat zwei Jahre lang in den USA gelebt und gearbeitet. Der Elektroingenieur und erfolgreiche selbstständige Unternehmer hat dort offenbar erfahren, wie sich die Bürger auf eine funktionierende Justiz verlassen können und verlassen dürfen.

„Wir sind sehr froh, dass ein neuer Geist Einzug in die Slowakei erhält“, freut sich Wolfgang Rauball, der Chef der EuroGas Inc.

Die amerikanische Unternehmensgruppe kämpft seit mehr als zehn Jahren gegen die Windmühlen von Korruption und Behörden-Willkür in der Slowakei. Seit 2008 gibt es ein erstes von drei nicht berufungsfähigen Urteilen des Obersten Gerichtshofs der Slowakei zu Gunsten von EuroGas Inc.’s slowakischer Tochtergesellschaft Rozmin s.r.o.. Grund des Kursrückgangs bei TMBXF...

Viele fragen sich, was denn der Grund für das hohe Volumen und den doch recht deutlichen Kursrückgang der letzten Tage ist...daher nachfolgend (wie auch im anderen Forum von mir zu lesen) mal meine persönliche Erklärung/Meinung dazu...

Und eines gleich vorweg:
Es liegt m.E. weder daran, dass es bei TMBXF negative Unternehmensentwicklungen gibt (soweit ich das als Außenstehender zumindest beurteilen kann), noch dass EUGS seine 12,5 Mio TMBXF-Aktien auf den Markt schmeißt (wie uns "Experten" wie Menglo, Whitesheep & Co. ja andersWO immer wieder gerne fälschlicherweise erzählen wollen!
Diese Tatsache, dass EUGS bislang noch nicht eine einzige der 12,5 Mio TMBXF-Aktien  verkauft hat, lässt sich ja auch nachweisbar dem letzten 20-F (*) entnehmen!
Da können diese Jungs noch so oft behaupten, dass EUGS auf der Verkäuferseite bei TMBXF steht...das ist schlichtweg gelogen!


Der Grund für den Kursrückgang liegt meines Erachtens vielmehr an dem PP mit "Asher Enterprises" vor etwas mehr als einem Jahr!

Damals pendelte der TMBXF-Kurs noch zwischen 0,01 und 0,02 USD...da kein Cash mehr da war und um nicht pleite zu gehen, musste TMBXF leider ein PP auf diesem niedrigen Kursniveau mit dieser nicht ganz so seriösen Investmentfirma "Asher Enterprises" durchführen (wer mal nach dem Namen dieser Company googelt, weiß was ich mit unseriös meine)...
die bekamen dann am 21.06.2013 für ein paar K USD insgesamt 10.355.724 bzw. 9,99% der ausstehenden TMBXF-Aktien (**)...
Wie man dem aktuellen Filing von heute (***) entnehmen kann, hat Asher per heute nun alle seine 10,4 Mio TMBXF-Aktien verkauft!!!

Das erklärt natürlich auch, woher die dicken Verkauforders in den letzten Tagen/Wochen kamen und natürlich auch im Allgemeinen, warum der TMBXF-Kurs trotz der recht positiven Unternehmensentwicklung in den letzten Monaten nie nachhaltig nach oben über die 0,06 USD-Marke ausbrechen konnte!
Wie gesagt, da Asher das PP zwischen 0,01 und 0,02 USD gemacht hat, haben die selbst auf dem aktuellen Kursniveau von heute um die 0,03 USD noch richtig fette Gewinne eingefahren!

Ich persönlich sehe aber jetzt, da Asher Enterprises komplett raus ist, keinen weiteren Grund mehr für fallende Kurse bei TMBXF!
Da es mit Cash bei TMBXF durch die Finanzierung mit EUGS eigentlich auch keine größeren Probleme mehr geben sollte, gehe ich persönlich davon aus, dass sich der TMBXF-Kurs in den kommenden Tagen/Wochen deutlich erholen wird!

Meiner Meinung nach haben wir "dank Asher" jetzt sogar noch mal eine richtig gute Einstiegsgelegenheit bei TMBXF um die 0,03 USD bekommen...ist aber nur meine persönliche Meinung und ausdrücklich keine Kaufempfehlung!
Wir werden ja aber bald sehen können, ob ich mit dieser Einschätzung richtig liege/lag... :)

Er hängt seit Jahren am Eugs Tropf und konnte vor einigen Monaten nicht mal 4000 USD

EUROGAS INC. SENDET “NOTICE OF TERMINATION” AN TOMBSTONE EXPLORATION CORPORATION

Mit Schreiben vom 2. September 2014 hat EuroGas Inc. eine offizielle “Notice of Termination” des Stock-For-Stock Exchange Agreements vom 10. Dezember 2013 zwischen EuroGas Inc. et al und Tombstone Exploration Corporation vom 10. Dezember 2013 an Tombstone Exploration Corporation gesandt.

Mit dieser “Notice of Termination” sind das Stock-For-Stock-Exchange Agreement” vom 10.12.2013 sowie die beiden weiteren zwischen den Parteien geschlossenen "Amending Agreements" “Null & Void” und sind damit offiziell beendet.

Das schliesst auch die seinerzeit gewährte Abtretung eines 20 % Anteils an Tombstone Exploration Corporation aus EuroGas Inc.’s potentiellem "Final Award” in EuroGas Inc.’s laufendem Schiedsgerichtsverfahren gegen die Slowakische Republik vor dem ICSID  Tribunal der Welt Bank in Washington D.C. ein. Auch diese 20 % Abtretung zugunsten Tombstone Exploration Corporation ist somit mit Wirkung vom 2. September 2014 “Null & Void”.

Tombstone Exploration Corporation besitzt daher ab 2. September 2014 keinerlei Rechte mehr an EuroGas Inc.’s potentiellem Final Award aus dem Schiedsgerichtsverfahren gegen die Slowakische Republik.

Das raffen aber die wenigsten ! Du gibst denen quasi nur ein paar % der dringend gebraucht wird um ein Asset voranzubringen.

PHOENIX, AZ--(Marketwired - Nov 26, 2014) - Tombstone Exploration Corporation (OTCQB: TMBXF) (BERLIN: UDNA), announced today that the Company is back on track to receive from EuroGas, Inc. a committed financing in the amount of $5 million USD for extensive drilling in its wholly owned USA porphyry copper-gold project in Arizona, USA. The lawsuit previously filed by the Company in the U.S. District Court of Utah against EuroGas, Inc., EuroGas, A.G., ZB Capital, A.G., Riata Minerals, Inc., Wolfgang Rauball, Edward Mueller and Jack Bauska has been dismissed due to the parties agreeing to terms for EuroGas, Inc. to continue with its financing commitment which began in May 2014 and will continue with the second phase which is to be received by the Company in January, 2015.

Tombstone Exploration Files Exploration Permits for Zebra Property

PHOENIX, AZ--(Marketwired - Jan 28, 2015) - Tombstone Exploration Corporation (OTCQB: TMBXF) (BERLIN: UDNA) announced today that the Company has filed the State Permits totaling 2,000 acres associated with the Zebra Prospect located at the eastern edge of the Tombstone Mining District.

The Zebra Prospect is an epithermal disseminated gold property located in Cochise County, Arizona, approximately three miles southeast of the town of Tombstone, in T20S, R23E, Sections 27, 28, 33 and 34. The property totals 2,000 acres and consists entirely of State land for which Arizona State Prospecting Permits have been filed. It is believed that the prospect lies within the metallogenic zonation halo of the Tombstone District. The shallow ores of the central district were known to be high in silver and lower in gold. Conversely, and in accordance with zonational patterns, the Zebra Property has high gold, and relatively moderate silver values.

During a detailed mapping program during the 1980s, thirty-three samples were collected of jasperoid, jasperoid breccia, silica vein material, hematitically altered silty limestone, dolomite and silicified rhyolite porphyry. Seven of these samples assayed >.20 ounces per ton gold and another three assayed >.10 ounces per ton gold. The highest assay was 1.0268 ounces per ton gold collected from an outcrop of black to red jasperoid breccia. These historical assays strongly support previous assay data from the property and suggest the occurrence of a large bulk tonnage disseminated gold deposit on the property. Geophysical surveys conducted on the property in the 1980s also suggest the possibility of a gold skarn deposit at depth.

Weder der Eine noch der Andere...sonst hätte wir auch schon entsprechende Filings oder Mitteilungen über Insider-Transaktionen o.ä. lesen können...aber in allen mir verfügbaren, offiziellen Quellen steht nach wie vor, dass weder EUGS noch Brown, noch Reid, noch Cagan in den letzten Monaten Shares verkauft haben...und die paar Shares von Radvak wurden ja bereits letztes Jahr verkauft (hattest du ja damals auch im EAF lesen können)...

Vielleicht sind es auch einfach nur ein paar kleine Pennyaktien-Zocker oder "Menglos", die aktuell ihr Glück (vor allem auf der Short-Seite) versuchen???
Man weiß es nicht...
Auf jeden Fall wird hier bei TMBXF in den letzten 7 Tagen auch massiv von den Shorties draufgehauen (siehe => otcshortreport.com/index.php?index=TMBXF)...kann man nur hoffen, dass bald mal eine gute (Finanzierungs-)News kommt und die sich dann alle rasch wieder eindecken müssen...von mir aus dürfen die Shorties dann gerne ordentlich gegrillt werden... ;-)

PHOENIX, AZ--(Marketwired - Feb 5, 2015) - Tombstone Exploration Corporation (OTCQB: TMBXF) (BERLIN: UDNA) announced today that the Company has filed State Exploration Permits totaling 480 acres in two sections of the Tombstone Mining District in an area previously referred to by Asarco, a major US mining corporation, as the Robbers Roost, which did drilling in the area in the 1970's. This leased area was also identified by Geotech Inc. in the ZTEM report prepared in 2011 as a significant target to add to TMBXF's land position in the Tombstone Mining District as a significant target of a gold-silver porphyr copper system.

Asarco conducted an exploration and deep drilling program in the Tombstone District in 1973 to 1975 to target porphyry copper deposits thought to be associated with Laramide granodiorite and quartz monzonite plutons within the Tombstone caldera complex. One such target was the Robber's Roost site, where intense phyllic alteration and breccia pipe emplacement are exposed by erosion (Briscoe, 1988). Asarco drilled three deep holes in this area (Secs 29-32 T20S, R22E) in 1975 (Sell, ADMMR). The hole depths were reported to be: CHS-1 (4002 ft), CHS-2 (3415 ft), CHS-2W (wedged out at 2488 ft in CHS-2 -- 5028 ft), and CHS-3 (3003 ft). Three analyses by Skyline Labs, Tucson, Arizona dated September 2, 1975, reported copper values of 15 g/t in CHS-1, in the interval between 240 and 395 ft. Five analyses by Skyline Labs, also September 2, 1975, reported copper values between 10 and 100 g/t in CHS-2, in the interval between 4351 and 5021 ft.

TMBXF's immediate focus will be executing a drill program on its wholly owned gold targets on the Zebra Property along with updating the plan for the major porphyr targets identified via Geotech Ltd., ZTEM report released in 2011. Of the targets that have been identified, two have precious metal (Gold and Silver) occurrences as "halos" around the properties, which are significant characteristics of porphyry systems.

ich denke mal, das größte Problem ist der Verkauf von billigen Shares über die Börse, was den Preis mal wieder auf 1 Cent runterdrückt. Was wir leider nicht wissen, ist ob Eurogas in irgendwelcher Weise seinen Verpflichtungen nachkommen konnte. Alan scheint nicht warten zu wollen, oder nicht mehr. Es ist einfach blöd, dass bei Eurogas alles an der Arbitrage hängt... Vorher für nichts anderes Kohle da wie es aussieht.
Durch das Verhalten werden natürlich die geschlossenen Verträge auch wieder hinfällig, da die gesamte Berechnung nicht mehr stimmig ist.

Sollte tatsächlich ein privater seine Shares abgestoßen haben, wäre es nicht so kritisch, ich gehe jedoch davon aus, dass sich Alan über die Börse finanziert hat.

Tombstone Exploration Stakes Land Position in Yuma County, AZ

PHOENIX, AZ--(Marketwired - May 27, 2015) - Tombstone Exploration Corporation (OTCQB: TMBXF) (BERLIN: UDNA) announced today that the Company has staked its initial land position in Yuma County, AZ in the Eagletail Mining District. The four initial BLM Lode Claims encompass eighty acres and cover the center of a land position, which includes the Stardust Mine (a detailed report was prepared for the property in past years including a sampling program).

The Stardust Property, which is located approximately seventy-five miles west of Phoenix, has a zone of chloritic schist, granite and andesite dikes that have values up to 3.05 ppm gold (0.089 ounces per ton) according to a historic report on the property. Silicification, limonite, hematite, copper oxide and chloritic alteration are associated with the gold mineralization.

The report states that one of several zones of altered andesite that outcrops from the surrounding sedimentary cover is at least 400 feet wide and 100 feet long. The overall zone of alteration and fracturing is at least a 1/2 mile in length and 300 to 500 feet wide, but is partially overlain by sediment. Sixty-three samples assayed over 0.01 ounces per ton.

The report goes on to state that based on available data, there is a good probability that an ore body of +/-3 million tons of 0.06 ounces per ton is present on the property.

TMBXF has appointed Mr. Rob McEwen as V.P. of Exploration. Mr. McEwen earned his B.Sc. from the University of Arizona and his M.Sc. from The Colorado School of Mines, where his focus was on economic geology with an emphasis on applied geochemistry. Earlier work focused on precious metals exposed at the surface with a 'detachment' style of mineralization, and it is probable that a larger, deeper resource exists on the property. Early exploration work was done on a broad scale and at shallow depths.

This early work incorporated soil geochemistry, mapping, and shallow drilling. The geochemistry was done solely for gold/silver/copper results. No multi-element analysis was done and some of the surface anomalies were never followed up. Shallow drilling delineated a surface target of approximately 1000'-1500' by 150'-250' and depths of up to 100'. This area is open to the east and west, as well as depth. Early records show a resource of approximately 2-3M tons with average gold values of 0.06-0.2opt. Because of the limited work completed, it is recommended that a more extensive, tighter scaled program be undertaken. Additional claims are being staked, additional research into previous work is being done, and an exploration program is currently being executed.

PHOENIX, AZ -- (Marketwired) -- 11/18/15 -- Tombstone Exploration Corporation (OTC PINK: TMBXF), a fully reporting company (BERLIN: UDNA), announced today that the Company renewed its State Exploration Permit encompassing 450 acres for Section 16 in the Tombstone Mining District. 145 acres of patented mining claims in Section 16 is also owned by TMBXF.

The location of Section 16 is two miles southwest of the town of Tombstone, Cochise County, Arizona. It is comprised of many of the historical silver mines in the district including: San Pedro group (Fox claims), State of Maine, Merrimac, Free Coinage, Chance, Bonanza, Santa Ana, Solstice, Annex 40 and 41 (Ace-in-the-Hole), Black Horse, the Joseph group, Mamie, Sailor, Randolph, and Groundhog. Zonge International performed a Ground Magnetic Survey across the claim block to determine the extent of the Stardust fault. Previous reports state that the two shafts on the property were sunk along a high angled structure which trends E-NE across the area of outcrop. TMBXF will be focusing on a zone of intense fracturing that was determined to exist across an area of approximately 700 meters in length and 250 meters in width as a high priority drill target. An additional area of interest occurs approximately 350-400 meters to the NE of the main target, at the intersection of two larger, more visibly apparent structures.

Tombstone Exploration also owns the mineral rights to eight patented lode claims totaling 145 acres in Section 16 along with a State Lease that encompasses the balance of Section 16 in the Tombstone Mining District. Section 16 is located two miles southwest of the town of Tombstone, Cochise County, Arizona. Phoenix, Arizona--(Newsfile Corp. - August 31, 2017) - Tombstone Exploration Corporation (OTC PINK: TMBXF), a fully reporting company, announced today that the Company has completed the filing and payment of all of its Bureau of Land Management (BLM) mining claims for the Eagletail Mining District, which is located in the State of Arizona for the year 2017 - 2018.

During 2016, the Company's geological team identified surface high grade gold results from a detailed mapping and sampling of a mineralized trend in the 100% owned claim block in Yuma County, AZ in the Eagletail Mining District. Highlights include a sample returning 7.04 g/t gold with multiple other samples above 1 g/t gold of the 70 samples sent for assay.

The encouraging results from the rock sampling program over the Stardust project indicate the presence of a high angle detachment related precious metals vein system. The mineralization present at the Stardust project appears to be located within detachment related veins & locally intensively chloritic and hematitic host rocks.

Tombstone Exploration Corporation announced on August 3rd it had completed the first phase of drilling on this Stardust Claim Block. Upon receipt of all drill results, a detailed geological report will be completed and prepared for our next phase of exploration.

Phoenix, Arizona--(Newsfile Corp. - September 22, 2017) - Tombstone Exploration Corporation (OTC Pink: TMBXF), a fully reporting company, announced today receipt of results from the phase one drill program conducted on the Company's 100% owned Stardust Gold Project in Yuma County, Arizona.

The initial drill plan for this project was to be completed in two phases, with each phase to be approximately 3000 feet. TMBXF completed phase one drilling, which consisted of 4 holes of the planned 20 hole drill program. These initial holes were completed within a 1 acre area of the Stardust 400 acre land position. TMBXF drill results met management's expectations and confirmed its intent to proceed with phase two. Phase one only touched the surface of the structures identified. Weather and terrain hindered the process and we are scheduling to proceed with phase two of the program starting in November. Phase two will be conducted under optimal weather conditions, enhanced roadway logistics, and a drill plan that will integrate an altered drilling technique that will maximize efficiency and speed for the final 16 holes.

The first phase drill program was designed to establish strike length and test grades over a large enough width within the defined chlorite hematite hosted vein system. The drilling was to define structural continuity (vein continuity along strike), grade of veins and hosting chl-hem zone, and find the width of structures. The program, as designed, has demonstrated grade at reasonably shallow depths. Phase two is designed to confirm the extension of these mineralized structures at a deeper depth and consume more extensive acreage.

Tombstone Exploration Corporation: To Commence Phase 2 Drilling at the Stardust Project

Phoenix, Arizona--(Newsfile Corp. - November 9, 2017) - Tombstone Exploration Corporation (OTCPK: TMBXF), a fully reporting company, announced today that 5000 ft of drilling will begin on November 10th on its 100% owned Stardust Claims located in Yuma County, Arizona. TMBXF's reclamation bond was accepted on May 17, 2017, by the United States Bureau of Land Management, and prior to this, the Notice of Application to conduct the exploration drilling plan was accepted.

TMBXF completed Phase 1 of drilling in August 2017, based on its geological team identifying surface grade gold results from a detailed mapping and sampling program completed over the last two years that identified a mineralized trend on its claim block. TMBXF has engaged Harris Exploration Drilling and Associates Inc. (Harris Drilling), a Nevada Company to commence on Phase 2. Harris Drilling has been in business for over fifty years and has worked for many of the top mining and exploration companies in the World. The drilling will be completed with a Foremost Explorer 1500 RC Drill, using Matrix 4-inch dual tube drill pipe. TMBXF expects to complete Phase 2 of drilling by December 15th.

TMBXF has engaged Scott Price, of Eagle Global Resources, LLC to be the Lead Geologist on this next phase of drilling. Scott has over twenty-five years experience in mineral exploration. His career and academic strengths in epithermal, Carlin-type, and porphyry Cu-Au deposits and stratigraphic/tectonic controls on their distribution are a perfect match for working with TMBXF on the Stardust Project. He has broad experience with technical and logistical aspects of project generation, acquisition, permitting/compliance and evaluation, expertise in drill program design and execution, including reverse-circulation, diamond, conventional and pre-collared programs.

During December 2015, TMBXF announced that it had completed a Ground Based Geophysical survey performed by Zonge International at its Stardust Project. The results are remarkably positive and have identified multiple apparent new precious metal targets.

Zonge International performed a Ground Magnetic Survey across the claim block to determine the extent of the Stardust fault. Previous reports state that the two shafts on the property were sunk along a high angled structure which trends E-NE across the area of outcrop. This structure is thought to be the 'feeder' for the Gold Silver mineralization in the project area and in the center of TMBXF's initial drill targets. Several reports reference 'free milling gold' from drifts along this fault. Abundant dump material contains anomalous gold and silver values as well as visible copper oxides. Due to the extensive surface disturbance in this area, performing a Ground Magnetic Survey has given the Company a better understanding of the subsurface character of the fault.

TMBXF will be focusing on a zone of intense fracturing that was determined to exist across an area of approximately 700 meters in length and 250 meters in width as a high priority drill target. This zone of fracturing is seen in a magnetic signature and is indicative of destruction of magnetic minerals from the possible introduction of hydrothermal fluids. An additional area of interest occurs approximately 350-400 meters to the NE of the main target, at the intersection of two larger, more visibly apparent structures.

TMBXF has engaged James Wright, a Senior Geophysical Consultant to review all the Geophysical Data completed by Zonge Engineering in 2015. Mr. Wright has a B.S. Degree (Honors) in Geophysics from the University of Arizona (1973) and a M.Sc. in Geophysics from Stanford (1975). He has over 40 years of varied experience applying geophysical techniques to exploration for a wide variety of commodities including gold, uranium, base metals, coal, lithium and potash.

Tombstone Exploration Corporation: Files Renewal of Exploration Permit for Section 16 of the Tombstone Mining District; Stardust Drilling Over 2000 Ft.

Phoenix, Arizona--(Newsfile Corp. - November 16, 2017) - Tombstone Exploration Corporation (OTCPK: TMBXF), a fully reporting company, announced today that the renewal of its Exploration Permit encompassing 450 acres for Section 16 in the Tombstone Mining District has been filed. 145 acres of patented mining claims in Section 16 is also owned by TMBXF.

The location of Section 16 is two miles southwest of the town of Tombstone, Cochise County, Arizona. Tombstone is mainly considered a precious metal district, famous for its bonanza silver deposits, however the porphyry copper model of Lowel and Gilbert (1970) suggests the presence of a significant porphyry copper deposit at depth.

The State of Maine Mine is 145 acres of patented mining claims owned 100% by TMBXF and has the potential for the discovery of a very large porphyry copper gold discovery at depth. This is the center of one of the most important targets in the Tombstone Mining District.

The Company commissioned Geotech Ltd., the world leader in airborne geophysical surveying techniques, to prepare a ZTEM report. Results of this report indicated the geological presence of a deep-seated porphyry copper ore body similar to other large porphyry copper ore deposits throughout Arizona. The ZTEM report, conducted via a helicopter, flew over TMBXF's property and scanned the ground to a depth of 6000 feet. This well-regarded and comprehensive report showed TMBXF's property contains significant porphyry structures resembling known porphyry copper deposits that had previously been successfully defined by ZTEM. An NI 43-101 technical report was updated for this property by the SRK Group. Through its work with a large number of major international mining companies, the SRK Group has established a reputation for providing valuable consultancy services to the global mining industry.

Mai 2020) (GLOBE NEWSWIRE) - Die Tombstone Exploration Corporation (OTCQB: TMBXF) , ein vollständig berichtendes US-amerikanisches Bergbauunternehmen, freut sich, in Zusammenarbeit mit Goldrock Resources Inc. und der Bonanza Mining Company die Ausführung von bekannt zu geben ein bedeutender Vertrag mit 5D Mining & Construction, Inc. („5D“) über den Bau des Haufenlaugungskissens für die Bonanza Harquahala-Mine.

Der Bau der ersten Phase des Bonanza Heap Leach-Projekts wird voraussichtlich am oder um den 25. Mai 2020 beginnen. Die vollständige Fertigstellung des Projekts wird für Mitte September erwartet. Gemäß dem Vertrag wird 5D Arbeitskräfte, Ausrüstung und Materialien liefern, um alle Bauarbeiten und die Installation der Auskleidung für die erste Phase durchzuführen. 

„Wir befinden uns jetzt in der Bauphase des Laugungskissens und werden voraussichtlich innerhalb von 12 bis 16 Wochen fertiggestellt“, erklärte Alan Brown, CEO und President von Tombstone. „Sobald der Bau abgeschlossen ist, werden wir geschätzte 500.000 Tonnen auf das Laugungspad befördern und eine geschätzte Verarbeitungszeit von sechs bis acht Monaten für das gesamte abgebaute Material in Phase 1 beginnen. Sobald die Auslaugung begonnen hat, wird eine zweiwöchentliche Lieferung des Kohlenstoffs an unsere vorgesehene Goldverarbeitungsanlage erwartet. Basierend auf früheren metallurgischen Tests wird die Produktion auf 23.000 Unzen Gold mit Potenzial für mehr veranschlagt. "Wir sind sehr zuversichtlich in unsere Testergebnisse und erwarten unseren ersten Goldschub Mitte bis Ende September", erklärte Bonanza-Manager Todd Fayram.

Die derzeit in Betracht gezogene zweite Phase umfasst ein viel größeres Paket, bei dem wir möglicherweise 150.000 bis 300.000 Unzen Au in definierten unterirdischen Zielen in und um die alte Harquahala-Mine mit erheblichem Aufwärtspotenzial identifiziert haben.  

Der 5D-Bauauftrag für diese erste Phase des Bonanza Heap Leach-Projekts umfasst alle Vermessungsarbeiten, die für das Layout und die Sortierung, das Entbürsten des Arbeitsbereichs, den Abriss behindernder Betonkonstruktionen, die Verlagerung und Lagerung der vorhandenen Rückstände sowie die Massenklassifizierung für den PLS-Teich und die Laugung erforderlich sind Pad, alle Gräben und Verfüllungen für den Liner-Ankergraben, feine Sortierung für die Liner, Installation der Liner und des perforierten Abflussrohrs, einschließlich der erforderlichen Stützarbeiten.
