Oracle to launch $5.1 bln cash offer for PeopleSoft 06.06.2003 13:25 Headlines
NEW YORK (AFX) - Oracle said it would commence a tender offer to buy PeopleSoft for $5.1 billion, or $16 a share in cash. That represents a 5.9 percent premium to PeopleSoft's closing price on Thursday of $15.11, and a 29 percent discount to the stock's 52-week high of $22.50. Oracle expects the deal to be accretive to earnings from the first quarter the companies are combined. The database software company said once the deal is completed, it would review whether, "and on what terms," Oracle would support PeopleSoft's previously announced acquisition of J.D. Edwards . Oracle added that it expects to report fiscal fourth quarter earnings of 14 to 15 cents a share, versus the average analyst forecast compiled by Thomson First Call of 14 cents. Shares of Oracle closed Thursday down 22 cents at $13.36 and J.D. Edwards lost 6 cents to $12.79.
