NASHVILLE, Tenn., Aug 11, 2003 (BUSINESS WIRE) -- DIRECT GENERAL CORPORATION (DRCT) today announced that the initial public offering of 6,932,414 shares of its common stock has been priced at $21 per share. Direct General is offering 3,750,000 of the shares, and selling shareholders are offering the other 3,182,414 shares. Direct General will receive approximately $78.8 million of the total proceeds of approximately $145.6 million. In addition, the underwriters will have a 30-day option to purchase up to 1,039,862 shares of common stock from certain selling shareholders solely to cover over-allotments, if any.
The offering is being made through an underwriting syndicate led by book-running manager Keefe, Bruyette & Woods, Inc. and co-managers Morgan Keegan & Company, Inc., U.S. Bancorp Piper Jaffray Inc. and SunTrust Capital Markets, Inc.
